These Website Terms of Use (the “Terms”) are a binding agreement between you and Benefit Auctions, Inc. (“Benefit Auctions”, “we”, “us” or “our”), of Vernon, British Columbia, Canada. They govern your access to and use of benefitauction.ca, benefitauctions.ca and every page, sub-domain, feed, file and interface connected to them (together, the “Site”).
By accessing, browsing or using the Site in any way, by any means, with or without an account, you agree to these Terms. If you do not agree, you are not permitted to use the Site and must leave it now.
Bidding, buying, consigning and donating through our auctions are also governed by our Auction Terms & Conditions. If those and these Terms conflict on an auction matter, the Auction Terms & Conditions apply. Our Privacy Policy explains how we handle personal information.
1. Who may use the Site
You must be at least 19 years old (the age of majority in British Columbia) and able to form a binding contract to register, bid or buy. If you use the Site on behalf of a business, charity or other organization, you confirm that you have authority to bind it to these Terms, and “you” includes that organization.
2. Limited licence
Subject to these Terms, we grant you a limited, personal, revocable, non-exclusive, non-transferable licence to view the Site in a standard web browser, one page at a time, for your own personal, non-commercial use: to learn about our services, take part in our auctions and events, and contact us. Every other use is prohibited unless we have given you written permission in advance. We may revoke this licence at any time, for any reason, without notice.
3. Prohibited uses: scraping, bots and data collection
You must not, and must not help, allow or instruct anyone else (including any person, contractor, service, software or artificial-intelligence agent) to:
- use any automated means to access the Site, including any robot, spider, crawler, scraper, script, bot, headless or automated browser, browser extension, macro, AI agent or “computer-use” tool, or any similar technology, to access, monitor, copy, download, index, extract or record any part of the Site or its content;
- use any manual process to monitor or copy the Site or its content systematically or repeatedly, including copying, re-typing, screenshotting or recording content into a spreadsheet, list or other record;
- create, add to or maintain any database, directory, dataset, index or collection, in electronic or structured manual form, by downloading, caching, printing, storing or copying content from the Site, whether by automated or manual means;
- carry out any web scraping, web harvesting, data mining, data extraction, text-and-data mining or similar data-gathering activity on the Site;
- use any content from the Site to train, fine-tune, test, evaluate or improve any artificial intelligence or machine-learning model or system, or include it in any training dataset (permitted search and AI-search services are described below);
- harvest or collect personal information about anyone from the Site, including the names, images, email addresses, phone numbers, bid histories or paddle numbers of our bidders, donors, consignors, clients, team members or event guests, or use any such information to send unsolicited messages;
- access or use any data feed, application programming interface (API) or endpoint of the Site, including the WordPress REST API, RSS feeds, XML sitemaps, AJAX endpoints or any undocumented interface, for any purpose other than the ordinary operation of the Site in a standard web browser;
- monitor, compile or track our auction lots, catalogues, estimates, bids, prices, results, events, clients or other information, whether for price comparison, market research, competitive intelligence, lead generation, aggregation or any other commercial purpose;
- use the Site or its content to create, supplement or support any product, service, website, directory, listing service or application that competes with us or performs substantially the same function as the Site;
- frame, mirror, embed, re-publish, re-sell, sub-license, rent or redistribute any part of the Site or its content, or deep-link to it in a way that suggests a connection with us or bypasses our pages;
- bypass, disable, defeat or interfere with any security, access control, rate limit, robots.txt instruction, CAPTCHA, firewall or other technical measure on the Site, or hide or disguise your identity, IP address or user agent, including by rotating IP addresses or proxies, to avoid detection or blocking;
- place an unreasonable load on the Site or its servers, or interfere with or disrupt the Site, its servers, networks or other users;
- copy, modify, decompile, reverse-engineer or create derivative works from the Site, its software, design or content;
- register an account by automated means, under a false identity, or on behalf of someone else without authority, or place bids you do not intend to honour; or
- use the Site for any unlawful, fraudulent or misleading purpose.
Search engines and AI search. We permit publicly recognized search engines (such as Google and Bing) and AI search and answer services (such as ChatGPT search, Claude, Perplexity and Copilot) to crawl, index and retrieve the Site, and to show short summaries or excerpts of it in their results, only for the purpose of helping people find us, with a link or attribution back to the Site, and only in line with our robots.txt file. This limited permission does not include using our content to train or fine-tune AI models, and does not extend to data brokers, SEO or marketing-intelligence tools, archiving services or any other automated access. We may withdraw it at any time.
Reservation of rights. We expressly reserve all rights in the Site and its content against text-and-data mining, AI training and similar uses, under any law that allows rights holders to opt out of such uses. This reservation is also stated in machine-readable form on the Site.
Access is unauthorized. Any access to or use of the Site in breach of this section is outside the licence we grant, is unauthorized, and is a trespass on our systems. We may block, rate-limit, log and investigate such activity, and keep records (including IP addresses and request logs) as evidence.
4. Intellectual property
The Site and all of its content, including text, auction catalogues and lot descriptions, photographs, video, graphics, logos, the Benefit Auctions name and marks, page design, software and the selection, arrangement and compilation of all of it, are owned by Benefit Auctions, Inc. or our licensors and are protected by Canadian and international copyright, trademark and other laws. Photographs of our events are used with permission and may not be copied or reused. Except for the limited licence in section 2, no right, title or licence is granted to you, by implication or otherwise. You must not remove any copyright or other notice from any content.
5. Information you send us
When you submit information to us (for example a contact, donation, consignment or registration form), you confirm that it is accurate and that you have the right to share it. You give us permission to use it to respond to you and provide our services, as set out in our Privacy Policy. Please do not send us confidential information you do not want us to use. You are responsible for keeping your account password confidential and for all activity under your account.
6. Third-party services and links
The Site uses and links to third-party services, such as payment processors, email providers, maps, social networks and review platforms. We do not control them and are not responsible for their content, terms or privacy practices. Your use of them is at your own risk and under their terms.
7. Disclaimers
The Site and its content are provided “as is” and “as available”. Lot descriptions, estimates, event details and other information are provided in good faith but may contain errors and may change without notice; for auctions, the Auction Terms & Conditions govern. To the fullest extent permitted by law, we disclaim all warranties and conditions, express or implied, including merchantability, fitness for a particular purpose, accuracy and non-infringement, and we do not promise that the Site will be uninterrupted, secure or free of errors or harmful code.
8. Limitation of liability
To the fullest extent permitted by law, Benefit Auctions, Inc. and its directors, officers, employees, contractors and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or related to the Site or these Terms, however caused and on any theory of liability, even if advised of the possibility. Our total liability for any claim relating to the Site will not exceed one hundred Canadian dollars (CAD $100). Nothing in these Terms limits liability that cannot be limited under applicable law.
9. Indemnity
You will indemnify and hold harmless Benefit Auctions, Inc. and its directors, officers, employees, contractors and agents from and against all claims, losses, damages, liabilities, costs and expenses, including legal fees on a full-indemnity (solicitor-and-own-client) basis, arising out of or related to your breach of these Terms, your misuse of the Site, or your violation of any law or anyone else’s rights.
10. Enforcement and remedies
You agree that a breach of section 3 or 4 would cause us irreparable harm for which money damages alone would not be adequate. In addition to any other remedy, we are entitled to seek an injunction or other equitable relief without proving actual damage and, where permitted, without posting security. We may also seek damages, an accounting of profits, destruction or return of any data or copies obtained from the Site, and recovery of our full legal costs. We may suspend or terminate your access or account, cancel bids, and refuse service at any time if we believe you have breached these Terms.
11. Commercial access by permission
If you want to use the Site or its content in a way these Terms do not allow, including any automated or bulk access, you must first obtain our written permission, which we may refuse or make subject to a written licence and fees. Contact paul@benefitauctions.ca.
12. Copyright concerns
If you believe content on the Site infringes your copyright, email paul@benefitauctions.ca with the work concerned, where it appears on the Site, your contact information and the basis of your claim. We will respond in line with the Copyright Act (Canada).
13. Governing law and courts
These Terms and any dispute arising out of or related to them or the Site are governed by the laws of the Province of British Columbia and the federal laws of Canada that apply there, without regard to conflict-of-laws rules. You agree to submit to the exclusive jurisdiction of the courts of British Columbia, and that the proper venue for any proceeding is the Vernon registry of the court that has jurisdiction. We may nonetheless bring proceedings for injunctive relief or to protect our intellectual property in any court of competent jurisdiction.
14. Changes to these Terms
We may update these Terms at any time by posting a revised version on this page with a new effective date. Changes apply from that date. Your continued use of the Site after a change means you accept it.
15. General
If any provision of these Terms is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the rest of the Terms will remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms; we may assign them without restriction. These Terms, together with the Auction Terms & Conditions and the Privacy Policy, are the entire agreement between you and us about the Site. Headings are for convenience only. Sections 3, 4 and 7 to 15 survive any termination of your access.
